3. Quotations & Pricing

• All quotations are valid for 30 days unless otherwise stated
• Prices are in GBP and exclude VAT unless otherwise specified
• Additional work outside the agreed scope will be quoted separately
• We reserve the right to adjust pricing for scope changes

4. Payment Terms

• A deposit may be required before work commences (typically 30-50%)
• Invoices are payable within 14 days unless otherwise agreed
• Late payments may incur interest at 8% above the Bank of England base rate
• We reserve the right to suspend work if payments are overdue

5. Intellectual Property

• Upon full payment, clients receive full ownership of custom code developed specifically for their project
• We retain ownership of our pre-existing frameworks, tools, and methodologies
• Third-party components remain subject to their respective licences
• We may showcase completed work in our portfolio unless agreed otherwise

6. Client Responsibilities

Clients agree to:

• Provide accurate and timely information, content, and feedback
• Respond to queries within reasonable timeframes
• Ensure they have rights to any content they provide
• Test and approve deliverables within agreed timeframes

7. Project Delays

• Delays caused by client feedback or content provision may affect timelines
• We will communicate any anticipated delays promptly
• Extended delays may require re-scheduling and updated quotations

8. Warranties & Liability

• We warrant that services will be performed with reasonable skill and care
• We provide a 30-day bug-fix warranty on delivered work
• Our liability is limited to the fees paid for the specific service
• We are not liable for indirect, consequential, or special damages
• We do not guarantee specific business outcomes or results

9. Termination

• Either party may terminate with 14 days written notice
• Clients are liable for work completed up to termination
• We may terminate immediately for non-payment or breach of terms

10. Website Use

When using our website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorised access to our systems
• Copy or reproduce content without permission
• Transmit malicious code or spam

11. Governing Law
